Wholesale Agreement 2024-02-26 *

1. All Leviathan Bakehouse wholesale orders require 72 hours notice at a minimum for updates, adjustments, cancellations, or postponement for any reason. We will endeavor to accommodate if at all possible with a timely communication of extenuating circumstances. Orders for the next week should be placed by end of day on Fridays; cutoff time to send adjustments for the week is 10AM on Sundays. Please use the invoice emails that generate on Mondays to respond with any post-deadline adjustments but note that adjustments after invoices generate will incur administrative fees. 2. Wholesale prices are applied to recurring orders only. Orders eligible for wholesale pricing should total a single day value greater than $50.00 and a weekly statement/invoice total greater than $100.00 at wholesale price (~$133 retail value). Recurring wholesale purchases consistently must meet guaranteed minimum spend of $400.00 each month. The grace period for wholesale pricing minimums is two weeks – two concurrent weeks below minimum $100 weekly spend will move next invoices to retail prices. This is tracked in your worksheet so you can have an indication of where your order falls on our minimums scale as you build your next week order. 2b. Minimum single order (nonrecurring weekly) wholesale spend is the standard monthly $400.00 (~$533 retail equivalent). Only menu items indicated on the wholesale menu sheet (always linked in your recurring invoices) are eligible for wholesale pricing - all other Leviathan Bakehouse menu items are retail price and eligible for rewards points through Toast point of sale. This is not handled as wholesale. Please visit the standing orders webpage to place these orders with our team online or call them in during business hours. 3. Single invoice deliveries within 2 miles radius (4 miles round-trip) of 1101 N College Ave 46202 Pick up arrival time not available before 6:30AM Delivery arrival time not available before 6:45AM Invoice daily averages for the week: (week invoice sum total $ ÷ number of pick up or delivery days) average value above $100, no delivery charge average value between $50 and $100 - $10 delivery charge per fulfillment day no delivery options if invoice day-average is below $50.00 Delivery outside of 2 miles radius (4 miles round-trip) is assigned a $20.00 delivery fee including a mileage charge for round-trip total after the initial 4 miles. Rate will be indicated on estimates/invoices and is subject to change with service costs incurred. This option may not be possible in most cases and is solely available only with sufficient advance notice to coordinate with our delivery schedule availability – ranging from 14 days during the holiday seasons to the 72-hour-minimum in early July. 4. A NET-14 invoice for the items in your recurring/wholesale order will be emailed on Mondays for your order with a link to remit payment via a secure QuickBooks online payment portal. A credit card or bank account ACH payment can be used up to pay each invoice. 4b. If you have updates to make before Monday - do so by 10AM on Sunday. If you need adjustments made after an invoice is issued, please use the linked order sheet provided in the invoice to convey your number updates and/or reply-all to the invoice email that you have gone in to make your adjustments and/or email an update for assistance to complete your planned needs for the week. Once we have made adjustments on our end we will send an additional invoice and/or credit memo with adjustments indicated. If you would need to cancel an order, please reply-all to the invoice with adjustments, cancellation, or postponement of your standing order within the next day of receiving the automated invoice. Adjustments within 72 hours of your standing order date may not be possible and may not be able to be honored without incurring partial or additional cost. We will absolutely do our best to accommodate if possible. Everything on our wholesale list is made in house and it is not possible to offer wholesale of scratch products to our community without these service boundaries in place. 5. Wholesale order payments are only accepted via digital ACH or major credit cards through a QuickBooks online payment link sent to the billing/financing email you provide. Leviathan Bakehouse wholesale accounts operate on a NET-14 invoice schedule built into the recurring invoices. Please send your invoice payment link or the attached invoices to your finance team to remit ACH payment. It takes less than a minute to log in and schedule ACH remittance with QuickBooks online secure payments. You can download a copy of the invoice and receipt from this link at any time as well. 5b. Reminders are scheduled for the invoice creation, due date, 7 days past due, and 15 days past due with the 15 day mark resulting in a freeze on orders beginning from that date until account balance has been brought current.
